EdgeFlow Partner Program: Terms & Conditions

These terms are an agreement between you and Mizznes BV, a Belgian private limited company (besloten vennootschap) trading as EdgeFlow, registered at Ransuildreef 16, 2900 Schoten, Belgium, KBO/BCE 1026.527.343, VAT BE 1026.527.343 (“EdgeFlow”, “we”, “us”). They take effect on the day you accept them. We record the version, time, account and language of each acceptance and email you a confirmation. They sit alongside the EdgeFlow Terms of Service and Privacy Policy; about the partner relationship, these terms prevail.
The short version
- This is the Founding Partner deal. Commission only: no fixed fees, no tiers.
- You earn 30% of what the customer pays, excluding VAT, for 12 months from their first payment.
- In every month you have 10 or more paying customers, you also earn 10% on all your customers past their first 12 months, the first 10 included. If you drop below 10, it pauses until you are back at 10. With more paid customers in total you earn at least the affiliate rate in every month: 5% from 10, 10% from 50, 15% from 200.
- Your audience gets 20% off their first 3 months, or their first year on a yearly plan, through your link or your code.
- A link sets a 60-day cookie; the last link clicked counts. In the EU we ask the visitor's consent for that cookie. A code typed at checkout always counts, and counts over a link.
- Each commission waits 30 days after the customer pays. If it was not refunded, it is approved. We pay approved commission monthly by bank transfer from USD 50; a smaller balance rolls over. The bank transfer fee is deducted from the payout.
- A refund or chargeback before payout cancels that commission. After payout it is deducted from your next payout.
- Your own account gets EdgeFlow Pro free for 1 month, then free for as long as you have at least 1 paying customer. You may use your own code on your own account; it never earns commission.
- No commission on your own accounts, fake accounts or bought clicks. In case of suspected fraud we may hold open commission while we check.
- Mark every post as a paid partnership (the platform's label, or #ad). No profit promises, no financial advice.
- Either of us can stop with 30 days' notice. You keep earning on the customers you already brought, unless you broke these terms.
- We may change the deal for new partners. Yours stays as you accepted it, unless you accept a new version.
The full terms below are binding. If this summary conflicts with them, the full terms prevail.
1. Who can join
You must be at least 18, able to contract, give accurate information, follow applicable law and not be subject to sanctions that prevent our relationship or payment. We review every application and may refuse one.
2. Relationship
You are an independent contractor, not our employee, agent, partner or representative. You decide how, when and where you promote EdgeFlow, within these terms. You cannot bind us. The program is non-exclusive and gives no salary, fixed fee, benefits or minimum earnings.
3. Your link and your code
3.1 You get one referral link (youredgeflow.com/?ref=yourcode, on any page of the site) and the same code as a promotion code customers can type at checkout (your code in capitals).
3.2 A changed code replaces the old one for new visitors. Customers already attributed to you stay yours.
3.3 Codes must not mislead, offend, infringe rights or suggest that you are EdgeFlow. We may refuse or withdraw a code and will tell you.
3.4 Keep your account secure and do not sell, share or transfer it.
4. Attribution
4.1 Cookie. When someone opens your link, a first-party cookie remembers your code for 60 days. If they subscribe within that time, they are attributed to you. If they open another partner's link afterwards, the last link counts. Visitors in the EU, the EEA, the UK and Switzerland are asked for their consent to this cookie first; without consent no cookie is stored.
4.2 Code first. A partner code typed at checkout always counts, also without a cookie, and takes priority over a cookie.
4.3 Lock. A customer has one partner. Until their attribution has earned commission, a later valid code may replace it; after that it is locked.
4.4 Review hold. A customer re-attributed within 90 days after earning commission for another partner may be held for human review; the customer keeps the discount, no commission accrues until cleared.
4.5 Tracking. Browsers, blockers, refused consent and payment systems can break tracking. We do not guarantee perfect tracking, but we investigate a reported discrepancy in good faith. Who earns commission is decided by our payment records, not by analytics tools.
5. The deal
5.1 Paying customer. A paying customer is a distinct customer attributed to you with at least one paid invoice that was not refunded or charged back. A customer is a paying customer in a month when such an invoice covers that month: a monthly invoice covers the calendar month it is paid in, a yearly invoice covers that month and the 11 after it. Months are calendar months in Brussels time.
5.2 Commission for 12 months. For each paying customer you earn 30% of every invoice they pay in their first 12 months, counted from their first paid invoice.
5.3 Lifetime share. In every month you have 10 or more paying customers, you earn 10% of every invoice paid in that month by any of your customers past their first 12 months, the first 10 included. In a month with fewer than 10 paying customers, those invoices earn nothing; the share comes back in the first month you are at 10 again. If the affiliate program's lifetime share for your total number of paid customers is higher (5% from 10, 10% from 50, 15% from 200), you earn that rate instead, in every month, whatever that month's count. No rate is ever above 30%. While a month's commission is still pending, it follows that month's count as it stands (a customer who pays later in the month, or a refund, can change it); approved commission never changes.
5.4 Audience discount. Customers through your link or code get 20% off their first 3 monthly invoices, or their first yearly invoice. You earn on what they actually pay after that discount.
5.5 Maximum. No arrangement pays more than 30% commission on an invoice.
5.6 Founding Partners. These are the terms of the Founding Partner program. They apply to partners who hold a founding place. We give up to 15 founding places until 31 January 2027, or until partners together have brought 60 paying customers, whichever comes first. A founding place is given when we approve a founding application, or when we assign one in writing. Founding Partners also get extras that carry no money: a direct line to the founders, a monthly feedback call, and their wishes on the roadmap. After the founding phase, new partners join the affiliate program under its own terms; Founding Partners keep these terms.
6. Commission
6.1 Basis. Commission is the rate times the amount the customer actually paid on the invoice, after any discount and excluding VAT, GST and sales tax, as shown in the tax lines of the Stripe invoice. Our prices include VAT, so the basis can differ by the customer's country. Tax is never part of the basis.
6.2 One commission per paid invoice. Each paid invoice of an attributed customer creates at most one commission, rounded down to the cent.
6.3 Yearly plans. A yearly invoice earns its commission once, when it is paid. A yearly renewal 12 months after the first payment falls under §5.3.
6.4 Cancellation. When a customer cancels, their invoices stop and so does commission on them. A later new subscription through a different partner may qualify, subject to §4.4.
6.5 No commission on free or zero payments, taxes, refunded or charged-back amounts, your own accounts (§8), fake, duplicate or automated accounts, bought or forced clicks, held referrals, or customers attributed elsewhere.
6.6 Earlier versions. Customers attributed to you under v1.5 keep the split that was locked for them. A partner of the affiliate program (terms v2.0 or v2.1) can move to these terms only with a founding place (§5.6). The rates of these terms then apply to invoices paid after the acceptance; commission already booked stays as it was.
7. Pending, approved, paid
7.1 Pending. A commission is pending for 30 days after the customer's payment, in case of a refund.
7.2 Approved. After 30 days without a refund it is approved. Approved commission is a debt we owe you; it does not expire and is not at our discretion.
7.3 Paid. Once a month we pay all approved commission, minus deductions under §7.4, by bank transfer to the account in your payout details, once it reaches USD 50. A smaller balance rolls over to the next month without fee. The bank transfer fee is deducted from the payout and shown on your payout statement or invoice. A final payout when you leave, or when the program ends, has no minimum and is made within 60 days.
7.4 Refunds and chargebacks. A refund or chargeback before payout cancels the commission on it (in proportion for a partial refund). After payout, the amount is deducted from your next payout. If we win a chargeback, the commission comes back.
7.5 Payout details. You keep your bank and invoice details up to date in the portal: your legal name, address, country, IBAN (and BIC outside the SEPA area), whether you are VAT-registered and, if so, your VAT number. We ask only for what we need to identify you, pay you lawfully and keep required records. A payout waits until these details are complete; missing information delays, but never cancels, a payout.
7.6 Currency. Commission follows the subscription currency, normally USD. Intermediary or receiving fees outside our control may apply.
8. Your own accounts
Your own subscription, and any purchase that matches you by account, email address, Stripe customer or payment card, never earns commission. On your own EdgeFlow account you may use your own code for the discount (§11.2).
9. Prohibited conduct and fraud
9.1 Material breaches include own-account or fake sign-ups; duplicate, automated or incentivised sign-ups; bought, forced or injected clicks; cookie stuffing or redirects; coordinated churn; trading in accounts or codes; posting your code on coupon sites; spam; targeting minors or vulnerable people; impersonation; misleading claims.
9.2 You must not bid on the name “EdgeFlow” in Google or other search engines, or run ads that look like they come from EdgeFlow, unless we agree in writing. Promoting your own posts with paid ads is allowed.
9.3 If we suspect a breach, we may hold your open commission while we check, and we tell you. A hold lasts at most 90 days. By then we release it, or we end the agreement for cause and tell you the reasons in writing. After the check we release it, or, for a confirmed breach, cancel or reclaim the connected commission, require removal, suspend your code or end the agreement for cause. Unrelated approved commission stays payable.
10. Promoting a trading product
10.1 Mark every post, video or message about EdgeFlow as a paid partnership: with the platform's own label, or with #ad or “partner link: I earn a commission” in the caption. This applies to commission alone too.
10.2 You must not promise profits, returns, win rates, funded accounts or income; call trading risk-free; present demo data as real performance; give or imply financial, investment, trading or tax advice; or invent features. EdgeFlow is a trading journal, not financial advice, and trading involves substantial risk, including loss of all capital.
10.3 You are responsible for your own posts and claims.
11. Your own account
11.1 Free month. When you are approved and have an EdgeFlow account with the same email address, you get EdgeFlow Pro free for one month. No card is needed and none is charged.
11.2 After the free month. Pro stays free for as long as you have at least one paying customer through your link or code. We email you 7 days before your free Pro would end. Otherwise Pro features lock again and your data stays. You can subscribe yourself with your own code's discount, without commission. We never charge a card you did not enter yourself.
12. Brand and assets
While you participate, you may use the EdgeFlow name, logo mark and the Partner Kit only to promote EdgeFlow under these terms. Do not alter them, use them in your own brand, domain or handle, or suggest official status.
13. Data protection
Your portal shows anonymised customers (“Customer #3”), never their identity or trading data. We process your account, tracking, payment and correspondence data to run this agreement, prevent fraud and meet legal duties, as our Privacy Policy explains.
14. Tax
14.1 You are responsible for your own income tax, social security, VAT and registration duties. Commission is stated gross of your taxes. We may withhold or report where the law requires and will tell you.
14.2 Self-billing. If you are VAT-registered, you agree that we issue the invoice for your commission on your behalf (self-billing), from the details in your payout details, and that you do not issue your own invoice for the same commission. It comes with each payout email and stays available in the portal. Tell us at once if your VAT details change. If you are not VAT-registered, you get a payout statement instead.
15. Term and termination
15.1 Either of us may end the agreement with 30 days' notice by email.
15.2 After the notice period no new customers are attributed to you, and you keep earning under §5 and §6 on the customers you brought before it ended: the 30% until their 12 months are over, and the 10% lifetime share in every month in which 10 or more of the customers you brought are paying customers. This has no end date. If we end the agreement for cause under §15.3, commission on sales linked to the breach lapses; commission on genuine sales is still paid.
15.3 We may end the agreement at once for a material breach (§9), fraud, illegality or sanctions. Commission connected to the breach may then stop or be reclaimed; unrelated approved commission stays payable.
15.4 Provisions that should survive do so.
16. Changes
16.1 We may offer a different deal to new partners. Your deal stays the one in the version you accepted.
16.2 A new version applies to you only after you accept it in the portal. We give at least 30 days' notice by email and in the portal. If you do not accept, your version keeps applying until 60 days after our notice of the new version; the agreement then ends, and §15.2 applies to the customers you brought. Either of us may also end the agreement earlier under §15.1.
16.3 No change reduces commission that already accrued.
17. Liability
The program and tracking are provided as available, without guaranteed earnings. To the extent the law allows, our total liability is limited to the greater of the commission paid to you in the preceding 12 months and EUR 100. This limit never applies to approved commission owed under §7, fraud, wilful misconduct, gross negligence, or liability that cannot be limited by law.
18. Law and disputes
Belgian law applies, except where mandatory law says otherwise. The courts of Antwerp, Belgium have jurisdiction, without removing any mandatory right to another court. Before going to court, we each try in good faith for 30 days to resolve a written complaint. English is the authentic text; a translation difference is never used unfairly against a person who accepted the translation.

- your own accounts, fake accounts and bought clicks never earn commission, and suspected fraud can hold open commission;
- you mark every post as a paid partnership and accept §§9–10, including the ban on profit promises and financial advice.
