EdgeFlow Partner Program: Terms & Conditions

These terms are an agreement between you and Mizznes BV, a Belgian private limited company (besloten vennootschap) trading as EdgeFlow, registered at Ransuildreef 16, 2900 Schoten, Belgium, KBO/BCE 1026.527.343, VAT BE 1026.527.343 (“EdgeFlow”, “we”, “us”). They take effect on the day you accept them. We record the version, time, account and language of each acceptance. They sit alongside the EdgeFlow Terms of Service and Privacy Policy; about the partner relationship, these terms prevail.

The short version

1. You move up five tiers by the number of paid customers you bring: Starter, Bronze (1), Silver (10), Gold (50), Top (200). Tiers never go down on their own.
2. Commission is a percentage of what the customer actually paid, after discount and without VAT or sales tax. We never pay commission on tax.
3. You earn 30% of what each customer pays for their first 12 months, from your first paying customer. From Silver you also earn a lifetime share after those 12 months: 5% at Silver, 10% at Gold, 15% at Top. No tier or deal ever pays more than 30%.
4. Your rate is your tier on the day the customer's invoice is paid. A new tier applies to later invoices, never to earlier ones.
5. Your audience gets 20% off their first 3 months, or their first year on a yearly plan, through your link or your code.
6. A link sets a 60-day cookie. A code typed at checkout counts over a link.
7. Each commission is pending for 30 days after the customer pays, then payable. We pay payable commission monthly by PayPal or Wise from USD 20; smaller balances roll over.
8. A refund or chargeback before payout cancels that commission. After payout it comes off your next payout.
9. Your own purchases never earn commission.
10. No new paid customer for 6 months puts your account up for a human review. It does not lower your tier.
11. You get one free month of EdgeFlow Pro. We never charge a card you did not enter yourself.
12. No profit promises, no financial advice, no demo data shown as real results, and always disclose that you earn a commission.

The full terms below are binding. If this summary conflicts with them, the full terms prevail.

1. Who can join

You must be at least 18, able to contract, give accurate information, follow applicable law and not be subject to sanctions that prevent our relationship or payment. We review every application and may refuse one. Starter begins on the day we approve you.

2. Relationship

You are an independent contractor, not our employee, agent, partner or representative. You decide how, when and where you promote EdgeFlow, within these terms. You cannot bind us. The program is non-exclusive and gives no salary, benefits or minimum earnings.

3. Your link and your code

3.1 You get one referral link (youredgeflow.com/?ref=yourcode) and the same code as a promotion code customers can type at checkout (your code in capitals).

3.2 A changed code replaces the old one for new visitors. Customers already attributed to you stay yours.

3.3 Codes must not mislead, offend, infringe rights or suggest that you are EdgeFlow. We may refuse or withdraw a code and will tell you.

3.4 Keep your account secure and do not sell, share or transfer it.

4. Attribution

4.1 Cookie. When someone opens your link, a first-party cookie remembers your code for 60 days. If they subscribe within that time, they are attributed to you.

4.2 Typed code wins. A partner code typed at checkout takes priority over a cookie.

4.3 Lock. A customer has one partner. Until their attribution has earned commission, a later valid code may replace it; after that it is locked.

4.4 Review hold. A customer re-attributed within 90 days after earning commission for another partner may be held for human review; the customer keeps the discount, no commission accrues until cleared.

4.5 Tracking. Browsers, blockers and payment systems can break tracking. We do not guarantee perfect tracking, but we investigate a reported discrepancy in good faith.

5. Tiers

5.1 Paid customer. A paid customer is a distinct customer attributed to you with at least one paid invoice that was not refunded or charged back.

5.2 The tiers.

5.2b Lifetime commission. Lifetime commission is part of the tier: you earn the lifetime rate of the tier you are in on the day the invoice is paid.

5.2a Maximum. No tier or individual arrangement pays more than 30% commission on an invoice.

5.3 Moving up. You move up as soon as you reach the number of paid customers for the next tier. Tiers never move down automatically, also not when a refund lowers your count.

5.4 Inactivity. If no new paid customer is added for 6 months, your account is flagged for a human review. A review can lead to a conversation or, in case of a breach, to the measures in §9. It never changes your tier on its own.

6. Commission

6.1 Basis. Commission is the rate times the amount the customer actually paid on the invoice, after any discount and excluding VAT, GST and sales tax, as shown on the Stripe invoice. Tax is never part of the basis.

6.2 One commission per paid invoice. Each paid invoice of an attributed customer creates at most one commission.

6.3 Rate at invoice time. The rate is your tier on the day the invoice is paid. A tier you reach later applies to later invoices only.

6.4 The 12-month window. A customer's window starts at their first paid invoice and lasts 12 months. Invoices inside it earn your tier's window rate. Invoices after it earn the lifetime rate of your tier on the day the invoice is paid (5% at Silver, 10% at Gold, 15% at Top); at Starter and Bronze they earn nothing. A tier you reach later never applies to earlier invoices.

6.5 Cancellation. When a customer cancels, commission for that customer stops. A later new subscription through a different partner may qualify, subject to §4.4.

6.6 No commission on free or zero payments, taxes, refunded or charged-back amounts, self-referrals (§8), held referrals, fraud, duplicate or automated accounts, or customers attributed elsewhere.

6.7 Customers from v1.5. Customers attributed to you under v1.5 keep the discount and commission split that was locked for them, including its caps. They count as paid customers for your tier.

7. Pending, payable, paid

7.1 Pending. A commission is pending for 30 days after the customer's payment, in case of a refund.

7.2 Payable. After 30 days it becomes payable. Payable commission is a debt we owe you; it does not expire and is not at our discretion.

7.3 Paid. Once a month we pay all payable commission by PayPal or Wise (or bank transfer), from a balance of USD 20. A smaller balance rolls over without fee. A final payout when you leave, or when the program ends, has no minimum and is made within 60 days.

7.4 Refunds and chargebacks. A refund or chargeback before payout voids the commission on it (in proportion for a partial refund). After payout, the amount is deducted from your next payout.

7.5 Information for payment. We ask only for what we need to identify you, pay you lawfully and keep required records. Missing information delays, but never cancels, a payout.

7.6 Currency. Commission follows the subscription currency, normally USD. Intermediary or receiving fees outside our control may apply.

8. Self-referral

Your own subscription, and any purchase that matches you by account, email address, Stripe customer or payment card, never earns commission and does not get the partner discount through your code. The one exception is your own EdgeFlow account under §11.2: after the free month, your own code's discount applies to your own subscription, without commission.

9. Prohibited conduct

Material breaches include self-referral; fake, duplicate, automated or incentivised sign-ups; cookie stuffing, forced clicks, injected codes or redirects; coordinated churn; trading in accounts or codes; posting your code on coupon sites; bidding on EdgeFlow brand terms; spam; targeting minors or vulnerable people; impersonation; misleading claims. We may require removal, suspend your code, void or reclaim connected commission, or end the agreement for cause. Unrelated payable commission stays payable.

10. Promoting a trading product

You must not promise profits, returns, win rates or income; call trading risk-free; present demo data as real performance; give or imply financial, investment, trading or tax advice; or invent features. Every promotion must make clear that EdgeFlow is software, not financial advice, and that trading involves substantial risk, including loss of all capital. Disclose the paid relationship clearly near every link (for example: “partner link: I earn a commission if you subscribe”).

11. Your own account

11.1 Free month. When you are approved and have an EdgeFlow account with the same email address, you get EdgeFlow Pro free for one month. No card is needed and none is charged.

11.2 After the free month. We email you 7 days before it ends. Pro stays free while you have at least one active paying customer through your code, and for 30 days after the last one. Otherwise Pro features lock again and your data stays. To keep Pro you can subscribe yourself; your own code's discount then applies. We never charge a card you did not enter yourself.

11.3 Gold and up. From Gold, Pro is free for as long as you are a partner. If you were paying for Pro, we stop that subscription on request.

12. Founding Partners

Founding Partners are a separate program with its own terms. These terms give no founding status, founding place or founding rate. A partner who later holds a founding place accepts the Founding Partner terms for that.

13. Brand and assets

While you participate, you may use the EdgeFlow name, logo mark, your tier badge and the asset pack only to promote EdgeFlow under these terms. Do not alter them, use them in your own brand, domain or handle, or suggest official status.

14. Data protection

Your portal shows anonymised customers (“Customer #3”), never their identity or trading data. We process your account, tracking, payment and correspondence data to run this agreement, prevent fraud and meet legal duties, as our Privacy Policy explains.

15. Tax

You are responsible for your own income tax, social security, VAT and registration duties. Commission is stated gross of your taxes. We may withhold or report where the law requires and will tell you.

16. Term and termination

You may leave at any time. We may end the agreement for convenience with 30 days’ notice, or at once for material breach, fraud, illegality or sanctions. On termination for convenience, customers attributed before the notice keep earning under §6 until the end of the notice period; payable and pending commission is handled under §7. Provisions that should survive do so.

17. Changes

Material changes get at least 30 days’ notice by email and in the portal. Continuing requires accepting the new version; refusing ends participation as a termination for convenience. No change reduces commission that already accrued.

18. Liability

The program and tracking are provided as available, without guaranteed earnings. To the extent the law allows, our total liability is limited to the greater of the commission paid to you in the preceding 12 months and EUR 100. This limit never applies to payable commission owed under §7, fraud, wilful misconduct, gross negligence, or liability that cannot be limited by law.

19. Law and disputes

Belgian law applies, except where mandatory law says otherwise. The courts of Antwerp, Belgium have jurisdiction, without removing any mandatory right to another court. Before going to court, we each try in good faith for 30 days to resolve a written complaint. English is the authentic text; a translation difference is never used unfairly against a person who accepted the translation.

What you confirm when you accept

• you are at least 18 and can contract;
• you accept version v2.3, ID affiliate-terms-2026-10-31-v2.3;
• commission is a percentage of what the customer paid after discount and without VAT, at your tier on the invoice day;
• commission is pending for 30 days, then payable, and paid monthly from USD 20;
• refunds void unpaid commission and are deducted from the next payout after payment;
• self-referral earns nothing, and inactivity leads to a review, not a lower tier;
• you accept §§9–10, including the ban on profit promises, fake performance, financial advice and undisclosed promotion.
